These Terms of Service (the “Terms”) govern your access to and use of the services, website, materials, deliverables, and related offerings provided by Northbridge Product Marketing Studio (“Northbridge Product Marketing Studio,” “we,” “us,” or “our”). 3. User Obligations and Responsibilities

You agree to cooperate in good faith and to provide all information, materials, access, and approvals reasonably required for us to perform the services. You are responsible for ensuring that any content, data, trademarks, logos, customer information, or other materials you provide to us are lawful to use and do not infringe the rights of any third party.

4. Payment Terms and Conditions

Fees, billing arrangements, and payment schedules will be set out in the applicable proposal, statement of work, invoice, or written agreement. Unless otherwise agreed in writing:

Unless otherwise stated in writing, all fees are non-cancellable once work has commenced, and any unused retainer amounts may be applied to services rendered, administrative time, or reserved capacity. We reserve the right to adjust fees for changes in scope, accelerated timelines, additional revisions, or new deliverables requested by you.

5. Cancellation and Refund Policy

You may cancel a project or engagement by providing written notice to Northbridge Product Marketing Studio. Cancellation will be effective on the date we receive your notice, subject to any notice period or termination provisions in a signed agreement.

6. Liability Limitations

To the fullest extent permitted by applicable law, Northbridge Product Marketing Studio, its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, data, or anticipated savings, arising out of or related to these Terms or our services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms, whether in contract, tort, negligence, strict liability, or otherwise, will not exceed the total fees actually paid by you to Northbridge Product Marketing Studio for the specific services giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim, or CAD $1,000, whichever is greater, unless a different limitation is required by law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Canadian law, including liability for fraud, wilful misconduct, or gross negligence where such limitation is prohibited.

You acknowledge that marketing strategy, research, and campaign performance depend on many factors outside our control, including market conditions, customer behavior, platform algorithms, third-party policies, and your own implementation decisions. We do not guarantee any specific business, sales, conversion, ranking, or revenue outcome.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all pre-existing intellectual property, methodologies, tools, templates, frameworks, know-how, software, and materials used or developed by Northbridge Product Marketing Studio before or outside the scope of a specific engagement remain our exclusive property.

Upon full payment of all amounts due, and subject to any third-party rights and any exclusions stated in a written agreement, you will receive a non-exclusive, non-transferable license to use the final deliverables created specifically for you for your internal business purposes and for the intended commercial use described in the applicable engagement.

We may, unless otherwise agreed in writing, reference your name and non-confidential project description in our portfolio, case studies, credentials, or marketing materials, provided that we do not disclose your confidential information.

8. Data Protection and Privacy

Northbridge Product Marketing Studio will handle personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, provincial privacy legislation.

We will collect, use, disclose, and retain personal information only as reasonably necessary to provide our services, manage our business relationship, comply with legal obligations, and improve our offerings. We may use trusted service providers to support our operations, subject to appropriate confidentiality and data protection obligations.

You acknowledge that, in the course of providing product-marketing services, we may process information such as contact details, business information, customer insights, campaign data, and other materials you choose to share with us. You are responsible for ensuring that you have all necessary rights, notices, and consents to provide personal information or other regulated data to us for processing.

We will take reasonable administrative, technical, and physical safeguards designed to protect information in our possession or control. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

9. Force Majeure

Northbridge Product Marketing Studio will not be liable for any delay or failure to perform its obligations to the extent caused by events beyond our reasonable control, including but not limited to:

10. Changes to Terms

We may update or modify these Terms from time to time to reflect changes in our services, business practices, or applicable law. Updated Terms will be posted or otherwise made available with a revised effective date.

Your continued use of our services after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services and, if applicable, terminate the engagement in accordance with any written agreement.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, our services, or any related matter will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Toronto, Ontario, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or our services, and you irrevocably attorn to the jurisdiction of those courts, except where applicable law requires otherwise.

13. Severability Clause

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

If a provision is found unenforceable, the parties will negotiate in good faith to replace it with a valid provision that most closely reflects the original intent and economic effect of the unenforceable provision.

These Terms constitute the entire agreement between you and Northbridge Product Marketing Studio with respect to their subject matter, except as otherwise provided in a signed written agreement. No waiver of any provision will be effective unless in writing, and no failure to enforce any right will constitute a waiver of that right.
